1、摘要中国政府意识到在引进外资发展国内经济的同时，要实施“走出去”战略以抓住国际市场。跨国并购方式正成为中国企业实施“走出去”战略的一种重要实践形式。最近几年来，中国企业的跨国并购更是发展迅速。但总的看来，中国企业的跨国并购才刚刚开始，仍处于初级阶段。一方面，对于想要借助跨国并购“走出去”的国内企业来说，如何有效实施跨国并购缺乏相应的理论依据和指导；另一方面，如何构建中国企业跨国并购的支撑体系也迫切需要得到解决。本文首先阐释了跨国并购的基本理论问题。在对跨国并购的概念进行合理界定的基础上，指出企业并购的
2、一般理论和国际直接投资理论是跨国并购的理论基础，同时，提取了国外部分学者在跨国并购研究中的一些理论成果，并对其做出了评述。接着回顾了中国企业跨国并购的发展历程，分析了中国企业跨国并购的战略动因，并且从中国企业跨国并购的失败教训中探寻问题的症结所在。然后根据中国企业在跨国并购中存在的问题，分别从并购主体的重塑、目标企业的选择、融资方式的拓展、并购后的文化整合等方面系统思考了问题的解决之道。最后在分析中国企业跨国并购所遇到的外部障碍的基础上，构建了中国企业跨国并购的支撑体系，总括全篇。关键词：跨国并购并购主
