1、摘要中小商业银行作为金融业中的重要组成部分，其发展越来越受到关注，对中小商业银行的治理研究就显得格外重要。这也引出了木文的研究目标：在相关文献综述、理论分析以及案例研究的基础上，得出自己对于中小商业银行治理的研宂结果和政策性建议。本文首先要分析的是商业银行与一般企业治理的区别，以明确商业银行治理的特殊性；再通过屮小银行与人型银行治理的比较，得出屮小银行在治理上的特点，这样对它们的治理研究就有了一个理论铺垫。理论研究表明：对于中小商业银行的治理，不能简单套用一般企业或者国有大型银行的治理方法。同时

2、本文以杭州银行为案例进行了案例研究，对其治理结构和治理机制进行了深入的剖析，并得出了相关的结论和建议：对于中小商业银行的治理，要优化股权结构，规范股东行为；完善法人治理结构，确保董事会、监事会以及股东大会发挥其真正的作用；完善激励机制，建立有效的激励体系；完善金融监管机制，提高监管效率，降低行业风险。在提出这些建议的同时也希望它们能给中小商业银行的治理带来一定实质性的帮助。关键词：中小商业银行；治理结构；治理机制ABSTRACTSmallandmedium-sizedcommercialBank
