3、entratetheireffortsbeforeamergeronlegal,technicalandfinancialmatters.Theyemployarangeofexpertstoobtainthemostfavourablecontractpossible.Butevenattheseearlystages,peopleissuesmustbetakenintoconsideration.Thestrengthsandweaknessesofbothorganisationsshouldbeassessedand,ifitisamergerofe
4、quals,thencarefulthoughtshouldbegiventowhichpersonnel,fromwhichside,shouldtakeonthekeyroles.Thiswastheissuein2001whentheproposedmergerbetweentwopharmaceuticalcompaniespromisedtocreateoneofthelargestplayersintheindustry.Forbothcompaniesthemergerwasintendedtoreversefallingmarketsharea
5、ndshareholdervalue.However,althoughthecompanies'skillbaseswerecompatible,thechiefexecutivesofthetwocompaniescouldnotagreewhichofthemwastoheaduptheneworganisation.Thisillustratestheneedtocompromiseifamergeristotakeplace.Buteveninmergersthatdogoahead,therecanbecultureclashes.Onewaytoa
6、voidthisistoworkwithfocusgroupstoseehowemployeesviewtheexistingcultureoftheirorganisation.Inoneexample,wheretwoglobalorganisationsinthefoodsectorwereplanningtomerge,focusgroupsdiscoveredthatthecompaniesdisplayedverydifferentprofiles.Onewassales-focused,knewexactlywhatitwantedtoachie
7、veandpushedinitiativesthrough.Theothergotinvolvedinlengthydiscussions,tryingoutoptionsmethodicallyandmakingcontingencyplans.Thefirstrespondedquicklytochangesinthemarketplace;thesecondtooklonger,buttheoptioniteventuallychosewasusuallythecorrectone.Neithercompany'sapproachwouldhavewor
