1、PARTNERAGREEMENT合作伙伴协议BETWEENSISSTECHNOLOGYSISS技术ANDFORPLASTICCARDPERSONALIZATIONEQUIPMENT塑制卡个性化设备PARTNERAGREEMENT合作伙伴协议Rev00PURCHASEAGREEMENT购买协议在（以下简称PARTNER）和SISS技术之间达成这份协议。SISS技术的主要经营地点在Rm601Ace-Technotower,684-1Deungchon-dong,Gangseo-gu,Seoul,Korea。
2、（以下简称SISSTECH）WITNESSETHSISSTECH从事制造和经营几种类型的塑制卡个性化设备。PARTNER有意购买这些设备。因此考虑到双方的承诺和相互协议，缔约双方协议如下：第一条、定义为明确本协议的意义，以下条款应有如下含义：1.1"设备"指的是在合作列表中列出的“塑制卡打印设备”。1.2"备件"仅指的是维护和修理产品的备件。1.3"供应"指产品的消耗品.1.4"产品"指包括“设备”，“备件”和“供应”。定义见本文。1.5"采购订单"指PARTNER写给SISSTECH的采购订单。1.6
3、"交付"shallmean"ExWorks"SISSTECH'sdockinKorea.SISSTECHwillshipbystandardmethod,transportationchargesprepaidorbycarrierspecifiedbyPARTNER,freightcollect.Titleandriskoflosswillpassondeliverytothecarrier.SISSTECHwillnotbeliableforshipmentdelaysordelaysofanyki
4、ndbeyonditscontrol.1.7"Specifications"shallmeanthoseconfigurations,factsanddataoftheProducts.Rev001.8"Options"shallmeanthoseaccessoryitemsassetforthinthevalidpartnerpricelist.1.9"Territory"meansthegeographicalareasetforthinExhibit"B".1.10"Quota"meansthem
5、inimummilestonesinpurchasingvolumesPARTNERcommittoreachforanyoftheapplicableperiodassetforthinExhibit"B"ARTICLE2.SALEANDPURCHASEOFPRODUCTS2.1SubjecttothetermsoftheconditionsofthisAgreement,SISSTECHherebyagreestoselltoPARTNERandPARTNERagreestopurchasefrom
6、SISSTECHtheProductssetforthherein.2.2TherelationshipbetweenSISSTECHandPARTNERisand,duringthetermofthisAgreement,shallbethatofvendorandvendee.PARTNERisinnowaythelegalrepresentative,agent,licensee,servant,employeeorfranchiseeofSISSTECHforanypurposewhatsoev
7、erandhasnorightorauthoritytoassumeorcreate,inwritingorotherwise,anyobligationofanykindexpressedorimpliedinthenameoforonbehalfofSISSTECH.2.3Notapplicable.ARTICLE3.TERMSOFAGREEMENT–UNDERTAKINGANDPROHIBITIONS.3.1TermsofthisAgreementshallcommenceonthedateofe
