2、更加趋于一致,大股东的利益在更多情况下可以通过正常的渠道得以实现,应不必再费尽心机通过关联交易等方式迂回曲折地进行各种利益输送了,但社科院《2007年度中国上市公司100强公司治理评价》的报告指出:上市公司在股权结构、关联交易、股东大会及其权利等焦点问题上,相比股权分置改革前尚无实质性进步。在上市公司100强中,有六成的公司与其集团公司有母子关系,母公司或控股股东是上市公司的关键供应商。关联交易依然是上市公司治理中的一个顽疾。近年来被揭示的一桩桩上市公司财务丑闻几乎无不涉及关联交易问题。上市公司利用关联交易操纵利润在我国证券市场不仅面广、量大,
3、而且更加复杂、隐蔽,其杀伤力已直接危及我国资本市场的健康、稳定发展。在全流通时代如何有效、合理地遏制上市公司利用关联交易操纵利润已成为监管部门面临的又一难题。笔者以为,针对目前我国证券市场的特点,应在政策和制度上削弱关联交易操纵利润的内在动机,用法律手段提高关联交易操纵利润的成本,用会计准则等相关制度限制关联交易操纵利润的各种手段。 一、完善公司法人治理结构happinessXXmadeactivecontribution.TheafternoonofApril21,thecity's"two"educationalWorkingConfer
