2、，我们得知产权明晰在代企业制度中有着重要的作用，而公司治理结构是现代企业制度的核心。本文抛开传统的公司治理结构理论的观点，主要从产权理论的角度来对公司治理结构进行研究。在公司治理结构中，通过对各种利益相关者产权归属的界定，使得公司治理问题由复杂变简单化、产权更加明晰化。公司治理结构主要是对产权利益主体关系的一项制度安排,公司治理结构的效率的高低体现了是产权利益主体的权利的分配是否合理,而产权利益主体权利的界定决定了产权的保障程度与完整度。本文采用文献研究法、理论研究法、跨学科研究的方法。首先，从理论研究出发

3、，分别对产权理论和公司治理结构的文献综述进行总结；探讨了产权理论与公司治理结构关系的理论，说明了产权与公司治理结构的关系及其产权的界定对公司治理结构的影响；其次，对公司治理结构中，股东及股东会的权利、董事会的权利、高级管理人员的权利及员工的权利进行系统的归纳总结，并将其规划产权的几种类型进行理论上的创新。最后，本文根据理论创新进行研究总结及研究展望。[关键词]产权；公司治理结构；股东；董事会；33BasedOnthePropertyRightTheoryResearchOnCorporateGovernan
