1、TERMSHEETThisTermSheetsummarizestheprincipaltermsinrelationtotheacquisitionof(i)certainlanduserightandbuildingsasillustratedinthePropertyOwnershipCertificateattachedheretoasExhibitA,and(ii)certainauxiliaryfacilitiesasdescribedintheAuxiliaryFacilitiesListattachedhere

2、toasExhibitB(the“Transaction”)between[*]（“Seller”）and[*](“Buyer”).SellerandBuyermaybesometimesreferredtoindividuallyasa“Party”andcollectivelyasthe“Parties.”ThisTermSheetisindicatedasabasisfortheupcomingdefinitiveagreementconcerningtheTransactionandisnotintendedtobea

3、nddoesnotconstitutelegallybindingobligationsexceptassetforthinthe“Confidentiality,”“Exclusivity,”“Expenses”and“GoverningLawandDisputeResolution”provisions.Nootherlegallybindingobligationswillbecreated,impliedorinferreduntiladefinitiveAssetsPurchaseandSaleAgreementin

4、relationtotheTransaction(the“DefinitiveAgreement”)infinalformisexecutedanddeliveredbytheParties,providedthattheDefinitiveAgreementshallbebased,tothefullestextentpossible,onthetermssetoutinthisTermSheet.ThefailuretoexecuteanddelivertheDefinitiveAgreementshallimposeno

5、liabilityonSellerorBuyer.SaleandPurchaseSellerandBuyerwillenterintotheDefinitiveAgreementpursuanttowhichBuyerwillpurchasefromSeller:(i)certainlanduserightandbuildingsasillustratedinthePropertyOwnershipCertificateattachedheretoasExhibitA,(the“RealProperty”)and(ii)cer

6、tainauxiliaryfacilitiesasdescribedintheAuxiliaryFacilitiesListattachedheretoasExhibitB(the“AuxiliaryFacilities”).TheRealPropertyandtheAuxiliaryFacilitiesarecollectivelyreferredtohereinafterasthe“Property.”ThePartiesagreethatthesalebySellerofthePropertyshallbemadeona
