2、XattheunitpriceofXXX(inclusive/exclusiveofVAT)andthetotalpriceofXXX(inclusive/exclusiveofVAT),withthepaymenttermsof60daysuponyourreceiptoftheinvoices.AfterthesaidpurchaseorderwassealedbyXXCompanyforconfirmation,acontractforpurchaseandsaleofgoodsbetweenyouandXXCompanywasconc
3、luded.Subsequently,XXCompany,pursuanttothepurchaseorder,deliveredtoyouallgoodswithgoodqualityunderthepurchaseorder,andfurthermore,onXXXdate,issuedtoyouthespecialinvoicesforVATatthetotalvalueofXXX.However,afteryourreceiptofthegoods,youfailedtomakepaymenttimelypursuanttothepu
4、rchaseorder.AlthoughXXCompanyurgedyoutomakefullpaymentformanytimes,youonlypaidpartoftheamounts,i.e.,XXXX,andhasbeenrefusingtopayoffthebalanceofXXXsofar.Itismyopinionthat,yourfailureinpaymenthasconstitutedamaterialbreachunderthepurchaseorder.Now,asentrustedbyXXCompany,Ihereb
5、yrequireyouto,within10daysuponyourreceiptofthisLawyer’sLetter,payoffthesaidbalanceofXXXinalumpsumtoXXCompany.2If,withinthesaidtimeperioduponyourreceiptofthisLawyer’sLetter,youfailtopayoffthesaidbalanceoractivelyseeksolutionsthroughconsultationwithXXCompany,Iwill,asdirectedb
6、yXXCompany,bringacivillawsuitagainstyou,soastorecoverfromyoutheprincipalofthesaidamountandtheinterestsanddamagesresultingfromyourfailureofpayment,andapplytothecourtforseizingorfreezingyourrelevantproperties.Foravoidanceofburdensomelitigationandinconsiderationofyourgoodwill,
