2、industries,suchasenergy,transportandtelecommunication,whoseperformanceisofgreatimportancetobroadsegmentsofthepopulationandtootherpartsofthebusinesssector.Consequently,thegovernanceofSOEswillbecriticaltoensuretheirpositivecontributiontoacountry’soveralleconomicefficiencyan
3、dcompetitiveness.OECDexperiencehasalsoshownthatgoodcorporategovernanceofState-OwnedEnterprisesisanimportantprerequisiteforeconomicallyeffectiveprivatisation,sinceitwillmaketheenterprisesmoreattractivetoprospectivebuyersandenhancetheirvaluation.Anumberofnon-OECDcountriesal
4、sohaveasignificantstate-ownedsector,whichinsomecasesisevenadominantfeatureoftheeconomy.Thesecountriesareinmanycasesreformingthewayinwhichtheyorganiseandmanagetheirstate-ownedenterprisesandhavesoughttosharetheirexperienceswithOECDcountriesinordertosupportreformsatnationall
5、evel.ItisagainstthisbackgroundthattheOECDSteeringGrouponCorporateGovernanceinJune2002askedtheWorkingGrouponPrivatisationandCorporateGovernanceofState-OwnedAssetstodevelopasetofnon-bindingguidelinesandbestpracticesoncorporategovernanceofstate-ownedenterprises.TheWorkingGro
6、up,whichcomprisesrepresentativesfromOECDmembercountriesandtheWorldBankandIMFasobservers,hasundertakencomprehensiveconsultationsduringthedevelopmentoftheseGuidelines.Ithasconsultedwithawiderangeofinterestedparties,suchasboardmembersandCEOsofstate-ownedenterprises,stateaudi
7、tbodies,unionsandParliamentarians,andhasconductedextensiveconsultationswithnon-membercountries.AdraftversionoftheGuidelineswaspostedontheOECDwebsiteforpubliccommentandresultedinasignificantnumberofusefulandconstructivecomments,whichhavealsobeenpostedonthesite.TheseGuideli
