2、Chapter1GeneralProvisions第一条为进一步促进上市公司建立、健全激励与约束机制,依据《中华人民共和国公司法》、《中华人民共和国证券法》及其他有关法律、行政法规的规定,制定本办法。Article1TheseMeasuresareformulatedinaccordancewiththeCompanyLawofthePeople'sRepublicofChina,theSecuritiesLawofthePeople'sRepublicofChina,andotherrelevantlawsandadministr
3、ativerulesandregulations,withaviewtofurtherpromotinglistedcompaniestoestablishandimprovetheirincentiveandconstraintmechanisms.第二条本办法所称股权激励是指上市公司以本公司股票为标的,对其董事、监事、高级管理人员及其他员工进行的长期性激励。上市公司以限制性股票、股票期权及法律、行政法规允许的其他方式实行股权激励计划的,适用本办法的规定。Article2The"equityincentives"referredt
4、ointheseMeasuresshallmeanthelong-termincentivesgrantedbylistedcompanies,withitsownstocksasthesubjectmatter,toitsdirectors,supervisors,seniorexecutivesandotheremployees.TheseMeasuresshallapplytoimplementationintheequityincentiveplansoflistedcompaniesthroughthegrantingof
5、restrictedstocks,stockoptions,andinanyothermannerpermittedbythelaws,administrativerulesandregulations.第三条上市公司实行的股权激励计划,应当符合法律、行政法规、本办法和公司章程的规定,有利于上市公司的持续发展,不得损害上市公司利益。上市公司的董事、监事和高级管理人员在实行股权激励计划中应当诚实守信,勤勉尽责,维护公司和全体股东的利益。Article3Implementationbylistedcompaniesofequityinc
6、entiveplansshallconformthewiththelaws,administrativerulesandregulations,theprovisionsoftheseMeasuresandthearticlesofassociationofthelistedcompanies,shallbeconducivetothecontinuousdevelopmentofthelistedcompanies,andshallnotimpairtherightsandintereststhereof.Directors,su
7、pervisorsandseniorexecutivesofthelistedcompaniesshall,duringimplementationof©WestlawChinaPage1equityincentiveplans,actingoodfaithandwithduediligence,andsafeguardtheinterestsofthecompanyandallofitsshareholders.第四条上市公司实行股权激励计划,应当严格按照有关规定和本办法的要求履行信息披露义务。Article4Thelistedc
