1、INDUSTRY-ACADEMICCONSULTINGAGREEMENTThisAgreementismadethis_____dayof_________,201_7_,byandbetween(the“Company”),acorporationorganizedandexistingunderthelawsofthe,and(the“Consultant”),anemployeeandfacultymemberof,aneducationalinstitutionandcharitablecorporationlocatedin(“XXX”)
2、.WHEREAS,theConsultant,asamemberofthefacultyatXXX(“XXX”),ispermittedtoperformlimitedconsultingservicesforcompanies,subjecttothetermsofConsultant’semploymentrelationshipwithXXXandtheapplicablepoliciesandproceduresofand;WHEREAS,theCompanydesiresthattheConsultantprovideadviceanda
3、ssistancetotheCompanyinhisorherareaofexpertise;andWHEREAS,theConsultantdesirestoprovidesuchadviceandassistancetotheCompanyunderthetermsandconditionsofthisAgreement;NOW,THEREFORE,theCompanyandtheConsultantherebyagreeasfollows:1.ConsultingServices(a)Subjecttothetermsandcondition
4、softhisAgreement,theCompanyherebyretainsConsultantasaconsultantandtechnicaladvisortoperformtheconsultingservicesspecificallysetoutinExhibitAattachedtothisAgreementandmadeaparthereof(hereafterreferredtoasthe“Services”),assaidExhibitmaybeamendedinwritingfromtimetotime,andConsult
5、antagrees,subjecttothetermsandconditionsofthisAgreement,rendersuchServicesduringthetermofthisAgreement.SuchservicesshallbelimitedtotheareaofexpertisedescribedinExhibitA(the“Field”),asamendedinwritingfromtimetotime.Consultantshallrenderserviceshereunderatsuchtimesandplacesassha
6、llbemutuallyagreedbyCompanyandConsultant.Consultant’scommitmenthereundershallnotexceed___30___daysper__year____.(b)ItisunderstoodthatthepurposeoftheConsultingistoprovideperiodicreviewandadvicerelevanttocertainCompanymatters,andthatneitherConsultantnorCompanywillbenefitifConsul
7、tantprovidesinaccurateadviceorcommentarybasedoninsufficientinformation.Tothatend,CompanyshallprovideConsultant,inadvanceofmeetings,withaccurate,unbiasedandsufficientinformationforhimtoreviewthesubjectmatterthereof,andshallpromptlyprovidefurtherinformationthatConsultantreasonab
8、lydeemsrelevanttoforminganypertinentconclusionsrelevanttothem
