2、isdesirousofretainingDevelopertoperformthesoftwaredevelopmentservicesdescribedinthisAgreementforthesupportofCustomer'sbusiness;andWHEREAS,Developerdesirestoperformtheseservicesinaccordancevv让hth已termsandcond让ionsofthisAgreement;andWHEREAS,Developerrepresentsandwarrantsth
3、atitpossessesthequalificationsandskillsnecessarytoperformthesoftwaredevelopmentservicesdescribedinthisAgreement;andWHEREAS,DeveloperhaspreviouslyperformedsoftwaredevelopmentservicesforCustomerandisfamiliarwithCustomer'sproduct.NOW,THEREFORE,CustomerandDeveloperherebyagre
4、easfollows:1.Definitions.ThefollowingtermsshallhavethefollowingmeaningwhenusedinthisAgreement:a)z/FirstLevelSupport7'shallmeanthosesupportservicesprovidedbyCustomertoCustomer'sownendusers,includingbutnotlimbedtoaproblemcall-inhelpdesk,theresolutionand/orescalationofend-u
5、serproblemswiththeSystem,andthedistributionofallsoftwareerrorcorrections,maintenancereleasesandenhancementupdatesprovidedbytheDeveloperfortheSystem,onatimelyandeffectivebasis.b)"SecondLevelSupport"shallmeanthosesupportservicestofacil让atebasicsupportservicestoendusersofCu
6、stomer'ssoftware,including,butnotlim让edto:(i)thecorrectionofreproducibleproblems;(ii)thediagnosisofproblemsthattheCustomercannotresolve;and(iii)theprovisionofasinglecopyofallapplicableerrorcorrections,maintenanceupdatesandenhancementreleasesfortheSoftwareandDocumentation
7、,whichtheCustomerwillcopyfordistributiontotheCustomer'sownendusers・a)"Taxes"shallmeanallfederal,state,localandothertaxes,includingsales,use,andpropertytaxes,relatedtothisAgreementorCustomer'suseoftheSoftware,excludingtaxesbasedonDeveloper'snetincomeorpersonalproperty.1.T
