2、题，但至今鲜有人对事业单位下属国有企业的改制问题进行深入研究。在经过国有企业和政府机构的改革后，对事业单位的改革作为新的任务摆在我们面前。但是时至今日，事业单位改革仍处于初级阶段，始终未能进入到全面推广、多项并进的局面，归根结底是因为我国对事业单位改革的方向和目标不明确、支持的强度深度不够系统全面，由此使得我国事业单位的改革与发展未取得明显的进展。因此可以推断：有关事业单位改制的研究将在一段时间内成为热点。而作为事业单位下属的国有企业，对其的改革改制也将成为事业单位改革的重点。本文以事业单位下属国有企业为例，探讨了企业改制的必要性，通过研究公司的特点和存在的主要问题来设计公司的

3、整体改制方案，同时研究其可行性，设计出一套以绩效评判改制结果的方案。从中解决关于改革模式的选择，产权结构设计的优化、改制风险的规避、绩效评价指标的建立等问题。本文研究的基本思路：首先，初步分析我国国企改制的形成及现状：其次，结合本事业单位下属的某一国有企业，根据实际情况对国企改制的必要性进行研究分析，并从改革模式的选择、产权结构设计的优化、法人治理结构的设计和职工安置补偿安置方案等方面来设计国有企业的改制方案；然后，在改制方案的基础上建立一个国企绩效考核的指标体系来对该国有企业进行一个评价。根据上述研究得出本文的结论，并提出本文的建议。关键词：国有企业改制，方案设计，绩效评价I
