1、2.8Xxxshall,asrecommendedbyWOFE,purchaseorhaveavailableallstandardandspecialtoolsreasonablyavailableandrequiredtosupporttherepairandservicesofProductslocatedwithintheTerritory.在WOFE推荐下，Xxx应合理的购买或取得所有标准的或者特殊的工具，以适用和满足领域内的维修和产品服务。2.9Xxxshallnotalter,modify,orrepackageProductswithout

5、ectualpropertyrights.XxxshallforwardtoWOFEanyinquiresregardingtheProductsreceivedfromCustomerslocatedoutsidetheTerritory.Xxx应将领域内有关竞争活动、市场情况和发展、影响产品销售的当地法律的市场信息按时报告给WOFE。Xxx应就任何或所有侵犯、限制、假冒、非法使用、误用WOFE的市场、专利或其他知识产权的行为立即通知WOFE。Xxx应将领域外的顾客对于产品的询问提交给WOFE。2.12Xxxshallmaintaininconfiden

6、ceandnotdisclosetoanythirdpartyanyConfidentialInformation.XxxshallmakenouseofConfidentialInformationexcepttofurtherthebusinessinterestsofthePartiesascontemplatedbythisAgreement,XxxshallnotusetheConfidentialInformationtothedetrimentofWOFEorSTERISCorporationunderanycircumstances.All

7、ConfidentialInformationisthesoleandexclusivepropertyofWOFE.XxxwillreturntoWOFEallConfidentialInformationuponterminationofthisAgreement.Xxx’sobligationswithrespecttothedisclosureanduseofConfidentialInformationshallsurvivetheterminationorexpirationofthisAgreement.Xxx应对保密信息保密并且不得将任何保
