3、ucationandconsultancyservices(“theServices9').(b)TheAgentwishestobeappointedasthePrincipaPsagentin(China)C'theTerritory^)forthesaleoftheservices1.AppointmentofAgent1.1ThePrincipalappointstheAgentasitsagentforthesaleofServicesintheTerritory,andtheAgentagreestoactint
4、hat,subjecttothetermsandconditionsofthisAgreement.2.TheAgenfsDuties2.1TheAgentshall,atalltimes:2.1.1actintheinterestsofthePrincipalandnotallowitsintereststoconflictwiththedutiesthatitowestothePrincipal;and2.1.2acttowardsthePrincipaldutifullyandingoodfaith.2.2TheAge
5、ntshallusereasonableendeavourstopromoteandmarkettheServicestocustomersandprospectivecustomersintheTerritory.2.3TheAgentshallconductthepromotionandmarketingoftheServicesintheTerritorywithallduecareanddiligenceandshallcultivateandmaintaingoodrelationswithcustomersand
6、potentialcustomersintheTerritoryinaccordancewithsoundcommercialprinciples.2.4TheAgentshall,onrequestofthePrincipal,beresponsibleforthefollowingoperationaltasksinconnectionwiththedeliveryoftheServicesintheTerritory:2.4.1selectingandbookingappropriatevenuesforthedeli
7、veryoftheServices;1.1.1makingsuitabletransportandaccommodationarrangementsforemployeesandrepresentativesofthePrincipalvisitingtheTerritoryforthepurposeofthedeliveryoftheServices;and1.1.2collectionoffees(whereappropriate)fromcustomersonbehalfofthePrincipal.1.2TheAge
8、ntshallprocurethatitsrepresentatives:1.2.1makethemselvesavailable,atallreasonabletimesanduponreasonablenotice,tothePrincipalforthepurposesofconsu
