1、产品合作协议（双方）东英药业&LI木屮外制药有限公司木协议及迄今为止的附属条款已于2012牛5月5LI（有效期）被双方公司接受。东英药业是一家合法注册的公司，办公地点在屮国江苏省南通市，南通经济技术开发区，屮天路8号，邮编226009,以下简称东英，除了与合同不符的内容外，其他将被视为接任者并允许委任）EmcurePharmaceuticalsLtd.,是一家印度公司，地址在EmcureHouse,T-184,M.I.D.C.,Bhosari,Pune,India411026（以下简称Emcure,除了与合同不符的内容外,其他将被视为接任者并允许委任）
2、（双方是指个a身份或合作身份的一方及双方）.序言Emcure是一家国内国际市场领先的研发、制药、销售/活性药物成分制药及产品发布公司Sinobiopharma在印度当地从事进口、制造、生产、商业、市场、发布及销售商医药产品在合同范围内，Sinobiopharma有从Emcure设法取得活性药物成分专属权。在领土内，Emcure要提供科技、合理的支持Sinobiopharma去生产完成产品。.考虑到双方承诺和责任，双方同意以下条款：ARTICLE1/DEFINITIONS1.^Affiliate,,means,withrespecttoanyPartyt

4、%oftheoutstandingvotingpowerofsuchpartyorthepowertodirectorcausethedirectionofthemanagementandpoliciesofsuchparty,whetherthroughownershipofvotingsecurities,byContractorotherwise・2."ApplicableLaws1'shallmeanallfederal,state,provincial,local,nationalandsupra-nationallaws,statutes,
5、rulesandregulations,includinganyrules,regulations,guidance,guidelinesorrequirementsofRegulatoryAuthorities,andapplicablecustomaryandreasonableindust「ypractices,ineachcasethatareineffectfromtimetotimeduringthetermandthatareapplicabletoParties1obligationsandactiv让iesunderthisAgree
6、ment.1.HCommercializationnshallmeanactivitiesdirectedtoactivitiesincludingbutnotlimitedtomarketing,promoting,distributing,sellingofFinishedProductineludinggrantingoflicense,sublicense,anddistribution.2."CompetingProducts11shallmeananypharmaceuticalproductsthatcontainssameactivep
