3、CITALSWHEREAS,theCompany,ARCH,Mr.WangandtheotherpartiestheretohaveenteredintoaSharePurchaseAgreementdatedasof,2008(the"SharePurchaseAgreement"),pursuanttowhichARCHwillacquirefromMr.Wang80%ofalltheoutstandingOrdinarySharesoftheCompanysubjecttothetermsandconditionsthere
4、under;andWHEREAS,itisaconditionprecedenttotheClosing(asdefinedbelow)undertheSharePurchaseAgreementthatthePartiesenterintothisAgreementtosetoutthetermsgoverningtherelationshipamongthePartiessubsequenttotheClosing;WITNESSETHNOW,THEREFORE,inconsiderationofthepremisessetf
