3、teredaddressisSt.George'sBuilding,2IceHouseStreet,HongKong・WHEREAS:-(A)TheGovernment,CLPPOWER,EELandCAPCOenteredintoaSchemeofControlAgreementdated9thMarch1992asamendedbyaSupplementalAgreementdated6thMay1999(ntheSCAn).(B)TheSCAgovernsthefinancialaffairsofCLPPOWERandCAPCO("theCompan
4、ies")sofarastheyrefertoelectricity-relatedactivitiesexcludingthoseassociatedwithexportsalesofelectricityinaccordancewiththeseparatearrangementbetweentheCompaniesandtheGovernment.(C)TheSCArequiresCLPPOWER,inadjustingitstariff,totakeintoaccount,amongstotherthings,promotionofenergyef
5、ficiencyandconservationinconductingitselectricity-relatedoperations・(D)TheSCAalsoregulatesthePermittedReturnoftheCompaniesforanyyearinrespectoftheirelectricity-relatedoperations.(E)TheGovernmentwishestopromoteenergyefficiencyandconservationwhileensuringserviceoftheCompaniestotheco
6、nsumingpubliccontinuestobeadequatetomeetdemand,tobeefficientandofhighquality,andisprovidedatthelowestcostwhichisreasonableinthelightoffinancialandotherconsiderations.(F)TheCompaniesagreetopromoteenergyefficiencyandconservationbyadoptingDemandSideManagement(DSM)Programmesascontempl
