1、KISSsoftAG–SaleandDeliveryConditionsIMPORTANT–Unlessotherwiseexpresslyagreed,thefollowingSaleandDeliveryConditionsofKISSsoftAGconstituteanintegralcomponentofanyandalloffersandagreementsformedwithKISSsoftAG.1.FormationofAgreementThecontent,scope,andconditionsofadeliverywi
2、llbegovernedbyKISSsoftAG’sorderconfirmationandbytheprovisionsoftheAgreement(example:LicenseAgreement)formedbyandbetweenKISSsoftAGandtheCustomer.TechnicaldocumentsaretobekeptconfidentialbytheorderingPartyandmaynotbecopiedordisclosedtothirdpartiesbyanymeans.Allcopyrightsor
3、otherrightsofownershipofsaiddocumentsarethepropertyofKISSsoftAG.2.PricesUnlessotherwiseagreed,KISSsoftAG'spricesareunderstoodtobequotedineurosexclusiveofVAT.TheorderingPartywillberesponsibleforthefullamountofanyadditionalcosts,includingbutnotlimitedtothecostsofinsurance,
4、exportpermitsandotherpermits,recordation,orotherfees.TheorderingPartywillalsoberesponsibleforanyandalltaxes,fiscalcharges,andcustomsduties.3.PaymentTermsInvoicesaretobepaidbytheorderingPartybythestatedpaymentdate,withoutanydeductionssuchasdiscounts,expenses,taxes,orfees,
5、inaccordancewiththetermscontainedintheorderconfirmation.Unlessotherwiseagreed,invoicesofKISSsoftAGwillbedueandpayablewithinthirtydays.IntheeventthatapaymentowedbytheorderingPartyisoverdue,KISSsoftAGwillhavetherighttochargelatepaymentinterestof6%perannum.Inaddition,inthee
6、ventoflatepaymentbytheorderingParty,KISSsoftAGwillhavetherighttotemporarilysuspenditsservicesorterminatetheexistingagreementswiththedefaultingcustomerwithoutnotice.NoclaimsofonePartymaybeoffsetagainstcounterclaimsoftheotherwithoutpriorwrittenagreementbetweentheSaleandDel
7、iveryConditionsParties.4.RetentionofTitleKISSsoftAGwillretaintitletothedelivereditemsuntiltheagreed-uponpriceispaidinfullbytheCustomer.5.DeliveryThedeliverywilltakeplaceexworkswithintheperiodspecifiedintheorderconfirmation.Thedeliveryperiodwillbeextendedaccordinglyifa)KI
