2、:PartyA:Railtech&PandrolChinaCo.,Ltd.PartyB:XXXXX此协议是由以下双方达成的：甲方：瑞泰潘得路铁路技术（武汉）有限公司乙方:XXXXXXWhereasPartyAagreestobuyonesetoftoolwithXXXXXXtomanufacturetheXXXXXXwhoseownershipwillremainunderRailtech&PandrolChinacontrol.甲方同意与乙方订购一套模具，用于乙方以生产XXXX（零件号XXXXX）,模具的全部所有权归瑞泰潘得

6、edinPartB'sareashallbedonebyPartyB.卖方发生的银行费用全部由卖方承担，买方发生的银行费用全部山买方承担。3.Ownershipandexclusivityofthemoulds:模具的所有权和唯一性:TheownershipofthemouldsfromthebeginningbelongstoPartyA,anditisforbiddentoprovideanyproductstoanyothercustomersforanycommercialpurposes.这些模具的所有权从开始起即归

7、甲方所有，禁止将产品供应给其它任何客户用于商业目的。MouldsareallowedtobeusedexclusivelyunderthepreciseinstructionsofPartyAinordertoproducemetalcomponentstobedeliveredtotheconsigneeindicatedbypurchaseordersofPartyA.模具专为甲方制作，并根据甲方的具体要求，专门为甲方进行生产并发货到甲方订单指定的收货人。PartyBisobligedtokeepatotalconfide
