1、NON-DISCLOSUREAGREEMENTTHISAGREEMENTismadeeffectiveontheof,2010BETWEEN:DYNAMOTIVEENERGYSYSTEMSCORPORATION,aBritishColumbiacoloration(“Dynamotive')AND:CHONGQINGINDUSTRYCO.,LTD.(the"Company”andtogetherwithDynamotive,hereinthe"Parties")ThisNon-DisclosureAgreement("Agre
2、ement")governsthedisclosureanduseofConfidentialInformation,asdefinedbelow,andismadeandenteredintoasofthedatethisAgreementissignedbythelastofthepartiestodosowhoshoulddateitasperabove(the"EffectiveDateJ.WHEREASthepartiesdesiretoinvestigatethepossibilityofabusinessorte
3、chnologicalcollaborationmoreparticularlydescribedin§17.NOWTHEREFOREthepartiesherebyagreeasfollows:1.Definitions(a)"Affiliate"5meanswithrespecttoaParty(i)anycorporateentityforwhichthatPartyholdsatleastoneseatontheboard,(ii)anypartnershiporjointventurewherethatPartyis
4、ageneralpartner,or(iii)anyotherentitythatiscontrolling,controlledbyorundercommoncontrolwithsuchParty."Contror5meanshavingtheright,throughtheownershipofvotingsecuritiesorotherwise,toelectthemanagementandotherwisetodirectthepoliciesofsuchentity;(b)“Company”meansthepar
5、tyexecutingthisAgreementwithDynamotive,asidentifiedin§13;(c)"ConfidentialInformation^meansanyinformationinanyformthatisdisclosedpursuanttothetermsofthisAgreementrelatingtothePurposeandtoConfidentialInformationasfurtherdescribedin§16;(d)"Discloser"meansapartydisclosi
6、ngConfidentialInformationpursuanttothetermsofthisAgreement;(a)"Purpose'，meansthereasonfordisclosureoftheConfidentialInformationasgenerallydescribedin§17;(b)"Recipient^meansapartyreceivingConfidentialInformationpursuanttothetermsofthisAgreement;and(c)"Representative^
7、meansthedesignatedindividualforeachPartysetforthin§14.1.UseofConfidentialInformation1.1Recipientwill(a)onlydiscloseConfidentialInformationtothoseofitsemployees,officers,directors,consultants,agents,contractorsandAffiliateswhoarerequiredtohavetheConfidentialInformati
