2、ncipalplaceofbusinessat[address]-ThisAgreementsupersedesallpriorAgreementsbetweentheparties.WITNESSETH:Whereas,theBoardofTrusteesofthe[organization](“theBoard")actingpursuanttothepowervestedinit,desirestoappointInvestmentManagerasaninvestmentmanager;andW
3、hereas,InvestmentManageriswillingtoacceptappointmentasaninvestmentmanagerforthe[organization];NOW,THEREFORE,inconsiderationofthepremisesandagreementscontainedherein,thepartiesagreeasfollows:1.0AppointmentofInvestmentManager.1.1.The[organization]herebyapp
4、ointsInvestmentManagerasaninvestmentmanager,assuchtermisdefinedinSection3(38)oftheEmployeeRetirementIncomeSecurityActof1974("ERISA"),withrespecttoallcash,securitiesorotherpropertyasmayfromtimetotimebedesignatedbytheBoard,asassetstobemanagedbyInvestmentMa
5、nager.Suchassetsshallconstituteandbereferredtoas“theAccount：1.2InvestmentManagerherebyacceptssuchappointmentasaninvestmentmanagerpursuanttothetermsofthisAgreementandagreestorestrictinvestmentoftheassetsoftheAccountto[fixedincomesecurities].1.2InvestmentM
6、anagershallforallpurposeshereinprovidedbedeemedtobeanindependentcontractorand,unlessexpresslyauthorizedinwriting,shallnothaveauthoritytoactforandrepresentthe[organization]ortheBoardinanywayorotherwisebedeemedanagentofeitherorboth.1.3InvestmentManager,ini
7、tssolediscretion,shallmanagetheAccount,andshallinvestandreinvesttheassetsintheAccount,theproceedsfromthesaleofsuchassetsandtheincomeandappreciationattributabletosuchassets,andanysuchadditionalassetstheBoardmaydesignate,fromtimetotime,lessanyassetstheBoar
