2、stakeholders.Thepressureofglobalisationandtheintensecompetitionhaveleadtoorganisationsencouraginggoodcorporategovernance.Organisationshavetopromotetransparencyandaccountabilityoffinancialinformation.AsGramlingetal.(JAccountLit23:194–244,2004)arguedthereare
3、fourimportantmechanismsofcorporategovernanceincludeboardsofdirectors,auditcommittees(amongothers)andinternalandexternalauditfunctions.However,thispaperwillfocusontherelationshipbetweentwocorporategovernancemechanisms(auditcommitteeandinternalauditfunction
4、).Thus,ourpurposeistoanalysetherelationbetweencharacteristicsoftheauditcommitteeandinternalauditfunctionandearningsmanagementmeasuredasabnormalaccrualstotestthequalityoffinancialstatements.Wehypothesisethattheassociationbetweentheeffectivenessoftheauditcom
5、mitteeandthepresenceofaninternalauditfunctionanditsrelationshipwiththiscommitteewouldindicatelessopportunityformanagementtomanipulateearnings.Usingasampleof108non-financialSpanishcompaniesthattradedontheMadridStockExchangebetween2003and2006(432observations
6、),wehavefoundthatthesizeandnumberofmeetingsoftheauditcommitteehadasignincentnegativeassociationwithearningsmanipulations.Also,ourresultssuggestthatanegativerelationbetweenhavinganinternalauditfunctionandearningsmanagement.Sincetheendoftheeightiesandearlyn
7、ineties,thetopicofcorporategovernancebegantoattractmuchattentionintheacademicworld.Wethinkthatthisinterestwasprimarilyduetotworeasons:changesinthewayofgoverningcompaniesbecauseofglobalisation,competition,newtechnologiesandsocialandenvironmentalconcern;and
8、,secondly,asaresultoffinancialscandalsinseveralcompanies.Thesescandalswereusuallycaused,ingeneralterms,bytheconflictofinterestinherentintherelationshipbetweentheownerandmanagers.Inthisconflict,itwasnecessarytoestablish
