3、ompanyunderthePO."Services"meanstheservicestobesuppliedbytheSuppliertotheCompanyunderthePO."Supplier"meanstheentitysetoutinthePO,towhichthePOisissuedto."TermfmeanstheseGeneralTermsandConditionsofthePO,asmaybeamendedfromtimetotimebytheCompany.2.ThePOissubjecttotheTerms.ThePOshallbesentb

4、yfacsimiletransmissionoremailandshallbedeemedservedontheSupplieratthedateoftransmission.ThePOshallbedulyacknowledgedandsignedbytheSupplierimmediatelyuponreceipt.3.TheSupplierherebyrepresentsandwarrantsthat:a)TheDeliverablesshallconformlothedescriptionsandspecificationssetoutinthePO.b)T

5、heProductsshallbeofmerchantablequalityundertheapplicablelaws,andfreefromdefectsindesign,materialsandworkmanship・c)TheServicesshallbeperformedwithallreasonableskillsandcareandinaccordancewiththestandardcommercialpracticesintheindustryforsimilarservices・d)TheDeliverablesshallbeincomplian

6、cewiththeapplicablelaws.e)TheDeliverablesshallnotinfringeanyintellectualpropertyrightsorotherproprietaryrightsofanythirdparty.4.TheSuppliershallensurethattheDeliverablesareproperlypackedandsecuredinsuchmannerastoenablethemtoreachtheDeliveryLocationingoodcondition.Thepackageshallfollowt
