2、的制造设备以生产A的焊接构件。B意愿按照A的技术要求(图纸、材料清单、制造说明等)为其生产这些部件,并发送给AoAdevelops,constructsandsellsXXaswellastherelativeequipment;Aholdsmanypatentsinthisfield.BhasthenecessarymachinerytofabricatetheweldingstructuresforAinductionfurnaces.BisthereforeinterestedinproducingthesecomponentsforAonthebasisofAknowl
3、edge(drawings,materiallists,manufacturinginstructionsetc.)anddeliveringthemtoA.Thefollowingisagreed协议如下:§1在合作期间大量的A技术资料将交付给B,在A的业务范围内不允许B直接或间接地与其竞争,或者按照A相同的技术条件为自身或第三方生产、维护和修理设备。InviewoftheextensiveknowledgethatApossessesandwilldiscloseduringtheworkwithB,Bisobligedneithertocompetedirectlyori
4、ndirectlywithA,nortoproduce,maintainnorrepairequipmentwiththesamespecificationsasAzsrangeforthemselvesorforthirdparties.§2A提供给B的所有商业和技术资料是A的独有财产。对所有交给B的技术信息，包括图纸,材料清单,技术文件等，A保留其版权。AllbusinessandtechnicaldocumentsthatAmaydisclosetoBarethesolepropertyofA.Aretainsthecopyrightontechnicalknowledg
5、e,suchasdrawings,materiallists,technicaldocumentsandanyotherinformation,passedtoB.§3B只允许将移交的技术资料・如图纸、材料清单、技术文件及其他信息用于向A报价或可能的A订单执行。B承认上述资料为A的秘密，不得将上述资料泄露给第三方，也不得复印或复制。该资料只能由制作报价或操作订单的相关职员使用，这些职员也有保密的义务。第三方也包括B的控股公司或控股人以及其关联公司。Bisonlyallowedtousethetransferredknowledge,suchasdrawings,material
