3、SINGORPROVIDINGFEEDBACKONTHEMATERIALS,YOUAGREETOTHESETERMS.IFTHISAGREEMENTISATTACHEDTOMATERIALS,BYACCESSING,USINGORPROVIDINGFEEDBACKONTHEATTACHEDMATERIALS,YOUAGREETOTHESETERMS.1.Forgoodandvaluableconsideration,thereceiptandsufficiencyofwhichareacknowledged,YouandMicrosoftagreeasfo
4、llows:(a)IfYouareanauthorizedrepresentativeofthecorporationorotherentitydesignatedbelow("Company"),andsuchCompanyhasexecutedaMicrosoftCorporationNon-DisclosureAgreementthatisnotlimitedtoaspecificsubjectmatterorevent("MicrosoftNDA"),YourepresentthatYouhaveauthoritytoactonbehalfofCo
5、mpanyandagreethattheConfidentialInformation,asdefinedintheMicrosoftNDA,issubjecttothetermsandconditionsoftheMicrosoftNDAandthatCompanywilltreattheConfidentialInformationaccordingly;(b)IfYouareanindividual,andhaveexecutedaMicrosoftNDA,YouagreethattheConfidentialInformation,asdefine
6、dintheMicrosoftNDA,issubjecttothetermsandconditionsoftheMicrosoftNDAandthatYouwilltreattheConfidentialInformationaccordingly;or(c)IfaMicrosoftNDAhasnotbeenexecuted,You(ifYouareanindividual),orCompany(ifYouareanauthorizedrepresentativeofCompany),asapplicable,agrees:(a)torefrainfrom
7、disclosingordistributingtheConfidentialInformationtoanythirdpartyforfive(5)yearsfromthedateofdisclosureoftheConfidentialInformationbyMicrosofttoCompany/You;(b)torefrainfromreproducingorsummarizingtheConfidentialInformation;and(c)totakereasonablesecurityprecautions,atleastasgreatas
