1、Software-as-a-ServiceTermsandConditions(FORMRAD10487US)TheseSoftware-as-a-ServiceTermsandConditions(“SaaSTerms”)governtheServicesprovidedbyVarianMedicalSystems,Inc.oritsAffiliateasidentifiedintheQuotation(“Varian”)toSubscriberpursuanttosuchQuotation(aseachsuchtermisdefinedinS
2、ection1below).TheseSaaSTermsmaybesupplementedbyaddenda,exhibits,schedules(includingProductSchedulesandCountry-SpecificTerms),andotherattachmentsreferencedinorattachedtotheseSaaSTermsortheapplicableQuotation(collectively,the“Agreement”).Intheeventofanyinconsistencybetweenthese
3、SaaSTermsandthetermsoftheQuotation,thetermsoftheQuotationshallprevail.1.Definitions1.1“Affiliate”meansinrelationtoanentity,anyentityControlledby,Controlling,orundercommonControlwith,suchentity.“Control”or“Controlling”or“Controlled”means,inrespectofanentity,directorindirectben
4、eficialownershipofmorethanfifty(50)percentofthevotingorincomeinterestinsuchentityorotherwisehavingthepowertogovernthefinancialandtheoperatingpoliciesortoappointthemanagementofsuchentity.1.2“AuthorizedUser”meansanySubscriber-appointedrepresentative(includingphysicians,physicis
5、ts,nurses,therapists,otheremployeesofSubscriber,andPatientstotheextentaQuotationexpresslydescribestheSubscriptionServiceasdirectlyaccessiblebyPatients)thathasbeenassigned(eitherbySubscriber,byaSubscriber-appointedrepresentative,orbyVarianatSubscriber’sdirection)ausernameandpa
6、ssword(oranyotherapplicableaccessorauthenticationmechanism)whichpermitssuchrepresentativetoaccessandusetheSubscriptionService;provided,thatsuchaccessanduseoftheSubscriptionServiceshallalwaysbeonSubscriber’sbehalf,or,inthecaseofPatientshavingaccessanduseoftheSubscriptionServic
7、e,forthebenefitofsuchPatients.1.3“BusinessDay”meansadaywhichisnotSaturday,SundayoradeclaredpublicholidayintheplacewhereathingistobedoneoroccurundertheAgreement.1.4“Claim”meansanyallegation,legalaction,investigation,proceeding,suit,demandorotherclaim.1.5“ClinicalData”meansallc
