2、ativeRulesGoverningtheAutoFinancingCompany ChapterIGeneralProvisionsArticle1TheAdministrativeRulesGoverningtheAutoFinancingCompany(hereinafterreferredtoastheRules)isstipulatedinaccordancewithrelevantlawsandregulationstoservetheneedofdevelopingautofin

3、ancingbusinessandregulatingthebusinessactivitiesofthenon-bankfinancialinstitutionsengaginginautofinancingbusiness.Article2AutofinancingcompaniesreferredtointheRulesaredefinedasnon-bankfinanciallegalentitieschartedbytheChinaBankingRegulatoryCommission

4、incompliancewithrelevantlaws,regulationsandtheRulestoprovideloansforautobuyersanddealersinthemainlandofChina.Article3AutofinancingcompaniesaresupervisedandregulatedbytheChinaBankingRegulatoryCommission.ChapterIIIncorporation,ChangeandTerminationArtic

5、le4TheestablishmentofanautofinancingcompanyshallbesubjecttotheapprovaloftheChinaBankingRegulatoryCommission.WithouttheapprovaloftheChinaBankingRegulatoryCommission,noindividualorentityshallbeallowedtoestablishanautofinancingcompany,orengageinautofina

6、ncingbusiness,orincludeinthenameofacompanysuchnamesas“autofinancing”or“autoloan”thatindicatethecompany’sengagementinautofinancingbusiness Article5Aninvestorofanautofinancingcompanyshallsatisfyfollowingrequirements: (a)Itshallbeacorporatelegalentityin

7、corporatedinandoutsideChina.Iftheinvestorisanon-financialentity,itstotalassetsofthepreviousyearshallbenolessthanRMB4billionyuanoranequivalentamountinconvertiblecurrencies;itsannualbusinessrevenueofthepreviousyearshallbenolessthanRMB2billionyuanoraneq

8、uivalentamountinconvertiblecurrencies.Iftheinvestorisanon-bankfinancialinstitution,itsregisteredcapitalshallbenolessthanRMB300millionyuanoranequivalentamountinconvertiblecurrencies;(b)Itshallhavesoundbusinessperformanceandremainprofitableforthelastth
