2、or:ZhaoHaiyiAssociateProfessorJune2018I摘要随着市场经济的不断发展以及人们投资选择的多样化，商事实践中出现了一种特殊主体，他们想对公司出资、成为公司股东，但却基于某些原由不愿让本人之名字或名称在公司的证明文件之上显现出来。但是，我国《公司法》等法律明确指出公司出资人必须实名登记于公司章程、股东名册等公司证明文件之上，因此，商事实践中出现了一种不符合法律规定，但是实际存在的出资形式——隐名出资，此种出资方式引起的纠纷在有限责任公司这种公司形式下更是屡见不鲜。隐名出资的出现产生了如下问题：一是该种出资行为的出现对现有公司法理论产生冲击；二是暴

3、露了我国目前对隐名出资纠纷法律规定的不足，其中不乏法律空白，现有规定还有前后逻辑矛盾、表述不清之嫌；三是隐名出资协议双方当事人容易产生对资金性质之争议；四是引起对隐名出资纠纷中股权归属情况之争议。通过对黄某与王某隐名出资纠纷一案的分析，本文以为上述不利影响可通过以下几点建议予以规制。一是通过充分分析借贷与出资之区别，明确隐名出资资金之性质。二是对三种不同学说进行分析，从隐名出资理论方面认可修正之后的“形式说”。三是从完善隐名出资制度规范出发在法律中明确隐名出资概念；明确规定除例外情况外，以“形式说”标准认定隐名出资中的股东；明确规定在不同证明文件发生冲突时，除非股东名册确有错
