1、湖南大学博士学位论文优势产业发展研究姓名：刘德文申请学位级别：博士专业：国际贸易学指导教师：曾德明20060918通过理论分析模型研究董事会结构对公司绩效的影响机理，以期为今后针对国内上市公司开展深入系统的实证研究提供一个有参考价值的理论框架。并以实证分析结果即公司绩效与董事会的结构与功能存在一定的联系之结论为基础，对该结果在法律与治理规则上的相应运用进行了一番分析。本文认为，中国资本市场持续多年的不振反映了我国公司治理中存在的诸多问题，以往的很多研究，例如以激励持股来讨论治理、将代理理论移植到中国、或者针对股权分置的不良效应展开论述而呼吁全流通等都没有触及到中国资本市场的本质症结。实

2、际上，中国上市公司所反映的诸多问题，其本质上是股东权被绝对化从而出现内部控制不够，权力运行缺乏制衡所导致，要限制则首先必须限制控股股东的权力。上市公司治理的问题发生于内部控制的规则失灵，中国公司治理的症结在于现有的市场游戏规则之失灵，据此必须重新配置相应的股东权运行规则，这才是解决中国上市公司症结问题的根本之道。关键词：股东权；股东权配置；公司治理；董事会IIAbstractTodiscusscorporategovernancefromtheperspectiveofshareholder’srightisbasedontheideaasfollows:becauseoftheess
