1、中文摘要金融控股公司是突破传统分业经营、分业监管，实现混业经营的新型组织载体。近年来，随着我国金融业对外开放程度的加深以及金融体制改革的不断推进，金融控股公司也逐渐成为我国学术界和实务界热烈讨论的话题。但关于如何设立我国的金融控股公司，选择何种设立方式却鲜少有人研究。目前，我国在此方面的专门立法尚属空白阶段。现存的金融控股公司也大多是通过绕道海外或是国务院特许的方式设立起来的。对此，本文参照已有相关立法的国家和地区的成功经验，对国际上最为常见的设立方式⋯营业让与和股份转换进行介绍，研究对比两种设立方式各自的特点并进
