4、areholdervote.Intruthandinfact,Muskhadnotevendiscussed,muchlessconfirmed,keydealterms,includingprice,withanypotentialfundingsource.2.Atapproximately12:48p.m.EDTonAugust7,2018,duringtradinghours,Musktweetedtohisover22millionTwitterfollowers,“Amconsideringtaki
5、ngTeslaprivateat$420.Fundingsecured.”Thisstatementwasfalseandmisleading.Overthenextthreehours,MuskmadeaseriesofadditionalmateriallyfalseandmisleadingstatementsviaTwitterincluding:·“Myhopeis*all*currentinvestorsremainwithTeslaevenifwe’reprivate.Wouldcreatespe
6、cialpurposefundenablinganyonetostaywithTesla.”·“Shareholderscouldeitherto[sic]sellat420orholdshares&goprivate.”·“Investorsupportisconfirmed.Onlyreasonwhythisisnotcertainisthatit’scontingentonashareholdervote.”2.Muskkneworwasrecklessinnotknowingthateachofthes
