1、中文摘要所谓“短线交易”是上市公司的董事、监事以及高级管理人员或大股东，违反法律规定，在一定期限内从事买进、卖出或者卖出、买进公司股票的对向性行为。而“短线交易”归入制度，就是规定行为人从事短线交易的收益应该归入公司所有。此制度的根本目的是防止上市公司的内部人，透过职务之便利用内幕信息从事“短线交易”。世界各国都有关于此归入制度的规定，我国的《证券法》中也涉及了此制度规定。本文以“短线交易”归入制度为研究的对象，通过对以美国为首的其他国家地区制度的比较和分析，采用对比分析、文字说理、列举等方式对相关的法律问题进行论述。本文通过结合我国的法律规定，分析了短线交易的理论来源以及历史沿革
