2、SpecializationCivilandCommerciallawDegreeMasterUniversityXiangTanUniversityDateMay29th,2018摘要近年来，随着经济发展模式的转变，融资困难问题日趋严重，仅通过传统金融机构获得融资早已不能满足人们的融资需求，至使民间融资担保蓬勃发展。然而，因不动产担保的设立、登记及实现程序皆极为繁琐且价格高昂，造成了传统担保方式在民间融资的司法实务中举步维艰的局面。鉴于此，一种新型的非典型担保方式应运而生，即当事人在成立借贷关系的同时，融资人（即债务人）

3、主动提出以自己的房屋为标的与债权人签订房屋买卖合同，并办理预告登记或备案登记，约定债务届期后，借款人不能清偿则履行房屋买卖合同。该类合同被称为买卖型担保，由合同设立的担保则被称为买卖型担保。司法实务中，法院对此类案件多以房屋买卖纠纷或民间借贷纠纷为案由立案。目前我国理论界的主要分歧点在于房屋买卖合同属何种法律性质以及买卖型担保是否有效。从结合担保物权的立法目的与尊重当事人的意思自治角度来看，买卖型担保契约设定的是一新型非典型担保，是物的担保而不是债权担保，是让与担保中的后让与担保而不是抵押权。买卖型担保并未创设新的物权形式

4、和内容，符合物权法定主义的立法目的、设置初衷，不违反物权法定原则。借贷关系中的双方当事人以买卖合同设置担保是其真实意思表示，且债权人在实现担保时负有清算义务，故买卖型担保合同当然不违反禁止流质规定。若合同双方约定排除清算义务，则仅流质条款部分无效，不影响买卖型担保的效力。另外，在担保实行时的清算方式选择上，择归属清算抑或处分清算，当事人有约定的依约定，未约定或约定不明确的，采归属清算。关键词：民间借贷、买卖型担保、让与担保、以房抵债IAbstractInrecentyears,astheeconomicdevelopmen
