2、这一矛盾，是一个很值得研究的问题。本文着重介绍了协议管辖制度的基本理论、协议管辖制度的唯一性、明确性及其连接点的解读、协议管辖制度存在的问题、协议管辖制度的完善四个方面的内容。在协议管辖制度的基本理论中对其概念、历史发展及意义方面进行了论述；接着在对协议管辖制度的唯一性、明确性及其连接点的解读中，结合审判实践中的案例加以分析；之后指出目前我国协议管辖制度中存在的立法不统一、适用范围过窄、可协议选择的法院过少、管辖协议生效条件过于严格、对国内民事案件没有规定默示协议管辖、与管辖权转移制度冲突时协议管辖可能和不到落实这六大问题。最后针对这些问题，从协议管辖制度的内在价值
