3、esirestosupplyXXwithitsrequirementsofintermediatewhichXXiswillingtopurchasefromXXXXinaccordancewiththetermsandconditionsofthisAgreement.NOWTHEREFORETHEPARTIESAGREEASFOLLOWS:1.DEFINITIONSThepreambletothisAgreementformsanintegralparthereof.ClauseheadingsinthisAgreementareintendedsolelyforconveniene
4、eofreferenceandshallbegivennoeffectintheinterpretationofthisAgreement.AllagreeduponannexestothisAgreement,whetherattachedatthetimeofsignaturehereoforatanytimethereafter,shallbeconstruedasanintegralpartofthisAgreement.Inthisagreement,thefollowingexpressionsshal1bearthemeaningsassignedtothembelowad
5、cognateexpressionsshal1bearcorrespondingmeaning:1.1"Affiliate-shallmeanwithrespecttoeachoftheparties,anyperson,corporalion,company,partncrship,jointvenlureorotherentitycontrolling,controlledbyorundercommoncontrolwithsuchparty.Forsuchpurposetheterm“control”meanstheholdingof50%ormoreofthecommonvoti
