1、提要住房抵押贷款证券化是过去30多年中金融领域里最重要的创新它在发达国家迅速发展并逐渐成为全球趋势随着我国经济的发展和住房制度改革的不断深化居民收入水平不断提高以房地产为主的住宅产业已成为国民经济的支柱产业住房消费已成为新的消费热点为了满足住宅产业的巨额资金需求和分散商业银行的流动性风险住房抵押贷款证券化成了我国商业银行的必然选择2003年底我国的个人住房贷款余额已经突破1万亿元人民币具有了一定的规模四大资产管理公司在处置不良资产的过程中也逐渐积累了这方面的经验开展住房贷款证券化业务条件已基本具备2005年3月21日中国人民银行宣

2、布信贷资产证券化试点启动国家开发银行和中国建设银行作为试点单位将分别进行信贷资产证券化和住房抵押贷款证券化试点随着试点工作的开展住房抵押贷款证券化作为信贷资产证券化的突破口已成为我国金融理论界和实务界的共识但法律体系和制度环境的现实制约使得这一创新性的金融制度安排真正落地中国尚需时日急需对法律和制度等环境进行完善本文剖析了住房抵押贷款证券化的运作机制理性地分析目前我国全面推行住房抵押贷款证券化的制约因素在借鉴国外住房抵押贷款证券化实施的经验的基础上为住房抵押贷款证券化在我国的创设进行了一些法律方面的探索同时提出了粗浅的建议主题词资

5、,MBSwouldbethechoiceofourcommercialbankinevitably.Bytheendof2003,thebalanceofpersonalhousingloaninourcountryhasexceeded1000billionRMBandformedalargescale.Atthesametime,thefourAsset-ManagementCorporationhasaccumulatedexperiencesfromtheprocessofdisposingofbadnessassets.

6、TimeisupfordevelopingMBSinChina.OnMarch21st,2005,thePeople’sBankofChinaannouncedthattheexperimentalunitsonAsset-BackedSecuritization(ABS)startup.ChinaDevelopmentBankandChinaConstructionBankwillbeasexperimentalunitstocarrythroughABSandMBSrespectively.Alongwithworkofthe

7、experimentalunits,thereisbroadconsensusinthefinancialtheorycircleandpracticalcircleofourcountryontheissuethatMBSwillbeasanopeningforABS.ButrealisticlawsystemandothersurroundingsrestrictdevelopmentofMBS.Weshouldmaturelawandothersystemstomakeaperfectenvironmentfordevelo
