1、摘要本文的主旨是揭示联合产权制度所形成的企业多边治理结构比单边治理结构能够更好地发挥对企业家的激励与约束作用，多边治理结构使企业家在企业的经营生产过程中能够更好的发挥企业家职能作用。为此，作者首先从动态角度分析了企业、企业家、激励约束三者之间的逻辑关系，阐述了不问阶段企业家创造合作剩余的方式不同，指出在知识经济条件下，企业家作用日益突出，企业家的创新职能和判断性决策能力等职能变得更加重要。接下来作者阐述了单边治理企业中企业家激励约束机制，运用产权理论分析该激励约束机制存在着诸如选拔机制不完善、企业家责任和利益不对等、报酬机制不合理、控制权和剩余索取不对称、声誉

2、机制未充分发挥作用等一系列问题，并对这些问题产生的原因进行了探讨。本文着重指出，单边治理企业中企业家的产权残缺是造成该企业制度对企业家激励不足、约束软化、不能充分发挥企业家职能作用等问题的根源。因此，要彻底消除这个弊端，就必须改革这种产权制度。企业要将劳动产权和要素产权联合起来，在企业内建立联合产权制度。在联合产权制度下，企业家的选择是董事会在企业家市场上进行选聘，对企业家实行双重激励的报酬机制，并充分发挥声誉机制的作用，这种以内部治理为主、外部治理为辅的激励约束机制能够充分发挥企业家作用，使企业生产的合作剩余最大化。关键词：联合产权制度企业家激励约束机制Ab
