1、意义。本论文在深入研究美国风险投资法律制度历史发展基础上，讨论中国风险投资发展的问题，构建中国风险投资法律制度体系。首先，论文探究了风险投资的概念及其特征，明确了风险投资的内涵；其次，考察了风险投资行业最为发达的国家—美国的风险投资法律制度的历史发展，总结其发展风险投资行业的立法经验；再次，从我国风险投资立法的现状出发，系统研究了我国的现行风险投资法律制度；最后，指出我国的风险投资立法存在的问题，提出完善建议，对《中华人民共和国风险投资法》的立法框架进行的构想，以期为风险投资立法提供有益的建议。法
