1、AGREEMENTOFUNDERSTANDING,COOPERATIONANDCONFIDENTIALITYBETWEENGROUPAand(SHORTNAMEOFTHECOMPANY)Amongtheundersigned,namelyPERSONNAME,adult,identifiedwithcitizenshipcardnumberCARDNUMBERofPLACE,inhiscapacityasthelegalrepresentativeofCOMPANYNAME,alegallyconstitutedcorporation,identifiedbyNITNUMBER,an
2、dregisteredattheChamberofCommerceofBogotaD.C.,undertheregistrationnumberNUMBER,whoforthepurposesofthisinstrumentwillbecalledA,asoneparty;andastheother,(NAMEOFAUTHORIZEDREPRESENTATIVE),adult,identifiedasappearsbelowhissignature,actingonbehalfof(NAMEOFTHECOMPANY),whoforthepurposesofthisdocumentwi
3、llbecalled(SHORTNAMEOFTHECOMPANY),haveagreedtoupholdthisAGREEMENTOFUNDERSTANDING,COOPERATION,CONFIDENTIALITYANDEXCLUSIVITYthatwillbegovernedbythefollowingtermsandbythecivilandcommerciallawsoftheRepublicofColombia:CLAUSEONE(1)OBJECTIVE.Theparties,Aand(SHORTNAMEOFTHECOMPANY),inthispaperagreetheyw
4、illjointlyparticipateintheselectionprocessesandjoinlypursuecontractsfortheconstructionofinfrastructure,utilitiesandotheractivitiesforwhichtheymeettheexperiencerequiredtoparticipateandachievetherespectiveagreements,ofinterestinColombiaorinotherLatinAmericanCountries,thatthepartiesmutuallyconside
5、rappropriate(“TargetProjects”).Thisunderstandingincludescooperationandconfidentialityinhandlingallmattersrelatingtoselectionprocessesandinformationofeachcompany,whichincludesworkingtogetherinthepreparation,draftingandsubmissionoftenders,withthecontributionoftheexperiencethat,inthetermsspecified
6、,Aand(SHORTNAMEOFTHECOMPANY)canprovide.NeitherAnor(SHORTNAMEOFTHECOMPANY)shallbeobligatedtoparticipateinpursuingaTargetProjectiftheydecidenottodoso.IfonepartyelectsnottopursueaTargetProject,thentheotherpartyshallbefreetodoso.Paragraph:ForpurposeofparticipateineachoftheTargetProjectsselected,the
7、parties,Aand(SHORTNAMEOFTHECOMPANY),willsignanindividualdocumentforeachprocess,andwillbestablishedtherulesofparticipationandperformanceintheventeofbeingawardedwiththeprocess.CLAUSETWO(2)OBLIGATIONSOFTHEPARTIES.Thepartiesagreeamong
