2、(the“Applicant”)herebyappliestobecomeaMemberofGlobalPlatform,Inc.,aDelawarecorporation(the“Company”),atthelevelindicatedonthesignaturepageofthisAgreement(the“Membership”).TherightsandobligationsoftheMembershipareassetforthintheBylawsoftheCompany(the“Bylaws”)andtheCertifi

3、cateofIncorporationoftheCompany(collectively,the“GoverningDocuments”),copiesofwhichtheApplicantacknowledgesreceiving.ThisAgreementshallnotbecomeeffectiveuntil(i)itisacceptedbytheCompanyinaccordancewiththeBylawsoftheCompanyand(ii)subjecttoSections6below,theCompanyhasrecei

4、vedtheinitialAnnualDuessetforthonthesignaturepagehereto.1.2Bysigningbelow,theApplicantacknowledgesandagreesthat,whensignedandacceptedbytheCompany,thisAgreementrepresentsabindingcontractbetweenthepartiesandcommitstheApplicantto(i)timelypaymentofallAnnualDuesandfeesasdeter

5、minedfromtimetotimebytheBoardofDirectorsoftheCompany,and(ii)complywithallthetermsandconditionsoftheCompany’sCertificateofIncorporationandBylawsandsuchrulesandpoliciesastheBoardofDirectorsand/orcommitteesmayfromtimetotimeadopt.TheApplicantcertifiesthatitmeetstheconditions

6、ofMembershipspecifiedintheBylaws.2.RepresentationsInconnectionwiththisMembership,theApplicantacknowledgesthatithashadtheopportunitytoreadthisAgreementandtheGoverningDocuments.TheApplicantacknowledgesthatitistheresponsibilityofeachApplicanttodeterminewhatadditionalinforma

7、tionsuchApplicantdesirestoobtaininevaluatingthedesirabilityofbecomingaMemberandtorequestsuchinformationfromtheCompany.3.EntireAgreement.ThisAgreementconstitutestheentireagreementofthepartiesregardingthesubjectmattercontainedinthisAgreementandreplacesallpriororcontemporan
