2、alin,itssharesonthemainboardofTheStockExchangeofHongKongLimited(theHKSE)(theListing).1.AppointmentForthepurposesofRule3A.19oftheListingRules,theCompanyappointstheComplianceAdviserandtheComplianceAdviseragreestobeappointedtoprovidetheCompanywiththeservicessetoutin
3、paragraph2below(theServices)onandsubjecttothetermsandconditionsofthisletter.(a)TheComplianceAdvisershall,subjecttotheprovisionsofparagraph6below,providetheCompanywiththeServicesforaperiodcommencingonthedateonwhichthesharesoftheCompanyarelistedontheHKSE(theEffecti
4、veDate),andendingonthedateonwhichthecompanycomplieswithRule13.46oftheListingRulesinrespectofitsfinancialresultsforthefirstfullfinancialyearcommencingaftertheEffectiveDate(which,fortheavoidanceofdoubtshallmeanthefinancialyearending31December2013)oruntilthisletteri
5、sterminatedinaccordancewiththetermshereof,whicheverisearlier(theTerm).BasedontheprovisionsundertheListingRules,theTermexpireson30April2014,beingthedeadlineforthepublicationoftheCompany’sannualreportfortheyearending31December2013ascurrentlystipulatedundertheListin
6、gRules.(b)Thisappointmentmaybeextended(a)bymutualagreementor(b)intheeventthattheHKSEdirectstheCompanytoappointacomplianceadviserforsuchlongerperiod,subjecttomutualagreementbetweenthepartiestothisletterofthetermsandconditionsofsuchextension.2.Services(a)TheService
7、sare:-(i)toprovidetheCompanywithprofessionaladviceinatimelymanneroncontinuouscompliancewiththerequirementsundertheListingRules,theSecuritiesandFuturesOrdinanceandtheCodesonTakeoversandMergersandShareRepurchases,ifapplicable,asamendedorsupplementedfromtimetotimean
8、dallotherapplicablelaws,rules,codesandguidelines(theRequirements)whicharerelevantandmaterialtotheCompany’sstatusasalistedcompanyontheHKSE;(ii)toinformtheCompan
