1、COMPANIESACT1963(ACT179)Section1-CommencementSpent.Section2-InterpretationFirstSch.InthisCode,unlessthecontextotherwiserequires,theexpressionsdefinedintheFirstScheduleheretoshallhavethemeaningsassignedtotheminthatSchedule.Section3-ApplicationofAct(1)Exceptwhereotherwiseprovided,theprovisions

2、ofthisCodeshallapplytoallcompaniesformedinGhana,whetherbeforeorafterthecommencementofthisCode,undertheprovisionsoftheCompaniesOrdinance,(Cap.193)orthisCode.(2)NothinginthisCodecontainedshallaffectthevalidityofanythingdonebeforethedatewhentheCodecomesintooperation.NinthSch.(3)Theprovisionsoft

3、hisCodewhichrequireormayrequireimmediateactionbyexistingcompanieswhenthisCodecomesintooperationarereferredtointheNinthScheduletothisCode.Section4-ApplicationofParticularChaptersoftheCode(1)TheprovisionsofChapterIIIofthisCodeshallapplytoprivatecompaniesbutnottopubliccompanies.(2)Theprovisions

4、ofChapterIVofthisCodeshallapplytopubliccompaniesbutnottoprivatecompanies.(3)TheprovisionsofChapterVofthisCodeshallnotapplytocompaniesformedinGhana.Section5-ProhibitionofPartnershipsExceeding20MembersNocompany,associationorpartnershipconsistingofmorethantwentypersonsshallbeformedforthepurpose

5、ofcarryingonanybusinessthathasforitsobjecttheacquisitionofgainbythecompany,associationorpartnership,orbytheindividualmembersthereof,unlessitisregisteredasacompanyunderthisCodeorisformedinpursuanceofsomeotherenactmentforthetimebeinginforce.Section6-CompaniesformedforSpecialPurposesNothinginth

6、isCodeshallabrogateoraffectanyspeciallegislationrelatingtocompaniescarryingonthebusinessofbanking,insuranceoranyotherbusinessfromtimetotimesubjecttospecialregulation.Section7-SavingofEquityandCommonLawTherulesofequityandofcommonlawapplicabletocompaniesshallcontinueinforceexceptsofarastheyare
