2、1.PremierWenJiabaoNovember19,2010RegulationsonAdministrationofRegistrationofResidentOfficesofForeignEnterprisesChapterIGeneralProvisionsArticle1　Theregulationsshallbeformulatedforthepurposeofregulatingtheestablishmentandbusinessactivitiesofresidentofficesofforeignenterpr

3、ises.Article2　Residentofficesofforeignenterpriseintheregulations(hereinafterreferredtoasrepresentativeoffice)referstotheworkingbodiesestablishedbyforeignenterprisesinaccordancewiththeRegulationswithinChinaengaginginnon-profitprogramsrelatedtotheirownbusinessanddoesnotpos

4、sessthestatusofalegalperson.Article3　RepresentativeofficesshouldabidebyChineselawsandshallnotimpairthestatesecurityandpublicinterestsofChina.Article4　Establishment,alterationandterminationofarepresentativeofficeshouldgothroughregistrationpursuanttotheregulations.Aforeign

5、enterpriseshalltakeresponsiblefortheauthenticityofapplicationdocumentsandmaterialswhileapplyingfortheregistrationofitsrepresentativeoffice.Article5　TheStateAdministrationforIndustryandCommerce(SAIC)anditsauthorizedlocaladministrationsforindustryandcommerceshallbetheautho

6、ritiesinchargeofregistrationandadministrationofrepresentativeoffices(hereinafterreferredtoasregistrationauthority).Registrationauthoritiesshouldestablishtheinformationsharingmechanismwithotherrelateddepartmentstomutuallyoffertheinformationconcerningrepresentativeoffices.

7、Article6　ArepresentativeofficeshouldsubmittheannualreporttotheregistrationauthorityfromMarch1toJune30everyyear,withthecontentsincludingvalidexistenceoftheforeignenterprise,businessperformanceoftherepresentativeoffice,expendituresfortheauditingoftheaccountingfirmandotherr

8、elatedmatters.Article7　Arepresentativeofficeshouldsetuptheaccountingbookbylawtotrulyrecordfundingalloca
