4、bythespiritoftheguidelines.1.2FUNDAMENTALS1.2.1TheBoardandseniormanagementofaninstitutionfulfildistinctcorporategovernancerolesandresponsibilities.TheBoardisultimatelyaccountabletostakeholders,includingshareholders,forthesuccessandfinancialsoundnessoftheinstitution.Tothisend,itisresponsibleforcharti

5、ngcorporatestrategy,monitoringmanagerialperformanceandenhancingreturnstoshareholders,whilepreventingconflictsofinterestandbalancingthecompetingdemandsontheinstitution.Seniormanagement,ontheotherhand,bearsthegeneralexecutiveresponsibilityfortheday-to-dayconductofbusinessandaffairsoftheinstitution.Iti
