1、ESMC9/28/94(Base)REV.November2010ENGINEERINGSERVICESMASTERAGREEMENTThisMASTERCONTRACT,ismadeandenteredintobyandbetweentheMississippiTransportationCommission,abodyCorporateoftheStateofMississippi(the"COMMISSION"),actingbyandthroughthedulyauthorizedExecutiveDirectoroftheMississippiDepartmentofTran

2、sportationand,________________________(the"CONSULTANT"),a__________Corporation,dulyregisteredtodobusinessintheStateofMississippi,whoseaddressformailingis___________________________,effectiveasofthedateoflatestexecutionbelow.WITNESSETH:WHEREAS,theCOMMISSIONrequirestheservicesof___________________

3、_____________________________asrequestedbytheCOMMISSION;and,WHEREAS,theCOMMISSIONdesirestoengageaqualifiedandexperiencedCONSULTANTtoconductsaidservicesasstatedabove,hereinaftercalledthe"SERVICES";and,WHEREAS,theCONSULTANThasrepresentedtotheCOMMISSIONthatitisexperiencedandqualifiedtoprovidethoses

4、ervices,andtheCOMMISSIONhasrelieduponsuchrepresentation;and,WHEREAS,theCONSULTANThereinwaschosenthroughtheConsultantSelectionProcesspursuanttoMississippiDepartmentofTransportation(hereinafter"MDOT")StandardOperatingProcedureADM240100000(March1,2001,asrevised)andpursuanttoFederalHighwayAdmini

5、stration(“FHWA”)regulations,EngineeringandDesignRelatedServiceContracts,23C.F.R.Part172(asamended)andfoundsatisfactorybothbytheCOMMISSIONandbytheFHWAtotheendthatbothpartiesarenowdesirousofenteringintoaCONTRACT;68NOW,THEREFORE,forandinconsiderationofthemutualpromisesandcovenantscontainedhereinand

6、forothergoodandvaluableconsiderationflowinguntotheparties,thereceiptandsufficiencyofwhichisherebyacknowledged,theCOMMISSIONandtheCONSULTANTdoherebyCONTRACTandagreeasfollows:ARTICLEI.GENERALRECITALSThepartiesagreethatenteringthisMasterContractisnoassurancethatprojects(alsoknownasaWorkAssignment)w

7、illbeassignedtheCONSULTANThereunderorthatthepartieswillenterWorkAssignmentshereunder.IfandwhenWorkAssignmentsareentered,theCONSULTANTshallprovidetheSERVICESspecifiedineachindividualWorkAssignmentissuedunderthisMasterContract
