1、EquityPledgeAgreementThisEquityPledgeAgreement("Agreement")isdatedisenteredintobyandbetweenxxxxxx、alimitedliabilitycompanyincoiporatedunderthelawsof,havingitsregisteredofficeat(hereinafterreferredtoas"Pledgor")andWuxiSuntechPowerCo;Ltd.alimitedliabilitycompanyregisteredunderthe
2、lawsofPeopledRepubicofChina,havingitsregisteredofficeatNo.12XinhuaRoad,NewDistrict,WuxiCity,JiangsuProvince,China(hereinafterreferredtoas"Pledgee”)・WHEREAS1.ThePledgorisshareholderof,legallyholding100%ofequityinterestofCompanySPV("EquityInterest").2.ThePledgeeandthePledgorhavee
3、xecutedaSupplyAgreementdated("theSupplyAgreementPursuanttotheSupplyAgreement,thePledgorshallpaytothePledgee.3・AssecurityfortheoutstandingobligationsofthePledgorpursuanttotheSupplyAgreement,thePledgorhasagreedtograntthePledgeesecurityovertheEquityInterest・NOWTHEREFORE,thePledgor
4、andthePledgeethroughmutualnegotiationherebyenterintothisagreementbaseduponthesefollowingterms:1.Definitions1.1Pledge:shallrefertothesecurityinterestgrantedbyPledgortoPledgeepursuanttoArticle2ofthisAgreement,i.e.,therightofPledgeetobecompensatedonapreferentialbasiswiththeconvers
5、ion,auctionorsalespriceoftheEquityInterest.1.2EquityInterest:shallrefertoalloftheequityinterestlawfullynowheldandhereafteracquiredbyPledgorinCompany.2.ThePledgeThepledgorherebypledgetheEquityInteresttothePledgeeasasecurityfortheobligationsofthePledgorundertheSupplyAgreement(the
