2、概述、有限合伙价值的分析、并且将有限合伙与其他组织比较及我国确立有限合伙的必要性和可行性、我国建立有限合伙制度的立法构想这五个方面对有限合伙进行了肤浅的分析。我国确立有限合伙制度有利于完善我国的法律体系，有利于鼓励投资并促进资金的优化配置，有利于实现两种合伙企业形式的优势互补，有利于解决我国风险投资企业、民营中小企业、国有中小企业、以及保险金、社保基金投资中的问题。因此，我国在当前确立有限合伙制度是相当必要的。关键词：有限合伙；普通合伙；有限责任合伙公司AbstractLimitedlyformsapartnershipthesystemsourceintheBritishandA
