波罗的海标准定期租船合同（英文版）ITISTHISDAYMUTUALLYAGREEDbetweenOwnersoftheVesselcalledoftonsgrosstonsnetRegister，classedofindicatedhorsepower，carryingabouttonsdeadweightonBoardofTradesummerfreeboardinclusiveofbunkers，stores，provisionsandboilerwater，havingasperbuilder'splancubic-feergrainbalecapacity，exclusiveofpermanentbunkers，Whichcontainabouttons，andfullyloadedcapableofsteamingaboutknotsingoodweatherandsmoothwateronaaconsumptionofabouttonsbertWelshcoal，oraabouttonsoilfuel，nowandofCharterers，asfollows1.TheOwnerslet，andtheCharterershiretheVesselforaperiodofcalendarmonthsfromthetimeintoSundayoralegalHolidayunlesstakenovertheVesselisdeliveredandplacedatthedisposaloftheCharterersbetween9a.m.and6p.m.，orbetween9a，m.and2p.m.ifonSaturday，atinsuchavailableberthwhereshecansafelyliealwaysafloat，astheCharterersmaydirect，shebeingineverywayfittedforordinarycargoservice.TheVesseltobedelivered2.TheVesseltobeemployedinlawfultradesforthecarriageoflawfulmerchandiseonlybetweengoodandsafeportsorplaceswhereshecansafelyliealwaysafloatwithinthefollowinglimitsNolivestocknorinjuriousinflammableordangerousgoodssuchasacids，tar，orexplosives，calciumcarbide，ferrosilicon，naphtha，motor，spiritanyoftheirproducts)tobeshipped.

11.TheOwnerstoprovideandpayforallprovisionsandwages，forinsuranceofthevessel，foralldeckandengine-roomstoresandmaintainherinathoroughlyefficientstateinhullandmachineryduringservice.TheOwnerstoprovideonewinchmanperhatch.IffurtherwinchmenarerequiredorifthestevedoresrefuseorarenotpermittedtoworkwiththeCrew，theChartererstoprovideandpayqualifiedshore-winchmen.2.TheChartererstoprovideandpayforallcoals，includinggalleycoal，oil-fuel，waterforboilers，portcharges，pilotages(whethercompulsoryornot)，canalsteersmen，boatage，lights，tug-assistance，consularcharges(exceptthosepertainingtotheMaster，OfficersandCrew)，canal，dockandotherduesandcharges，includinganyforeigngeneralmunicipalityorstatetaxes，alsoalldock，harbourandtonnageduesattheportsofdeliveryandre-deliveryunlessincurredthroughcargocarriedbefore(deliveryorafterre-delivery)，agencies，commissions，alsotoarrangeandpayforloading，trimming，stowing(includingdunnageandshiftingboards，exceptinganyalreadyonboard)，unloading，weighing，tallyinganddeliveryofcargoes，suveysonhatches，mealssuppliedtoofficialsandmenintheirserviceandallotherchargesandexpenseswhatsoeverincludingdetentionandexpenseethroughquarantine(includingcostoffumigationanddisinfection).Allropes，slingsandspecialrunnersactuallyusedforloadinganddischargingandanyspecialgear，includingspecialropes，hawsersandchainsrequiredbythecustomoftheportformooringtofortheCharterers'account.TheVesseltobefittedwithwinches，derricks，wheelsandordinaryrun-herscapableofhandlingliftsupto2tons.3.TheCharterersatportofdeliveryandtheOwnersatportofre-deliverytotakeoverandpayforallcoaloroil-fuelremainingintheVessl'sbunkersatcurrentpriceattherespectiveports.TheVesseltobere-deliverdewithnotlessthantonsandnotexceedingtonsofcoaloroil-fuelinthe

2Vessel'sbunkers.BALTIMEFORM1.TheChartererstopayashireper30days，commencinginaccordancewithclauseluntilherredeliverytotheOwners.Paymentofhiretobemadeincash，inwithoutdiscount，every30days，inadvance.IndefaultofpaymenttheOwnerstohavetherightofwithdrawingtheVesselfromtheserviceoftheCharterers，withoutnotinganyprotestandwithoutinterferencebyanycourtoranyotherformalitywhatsoeverandwithoutprejudicetoanyclaimtheOwnersmayother-wisehaveontheCharterersundertheCharter.2.TheVesseltobere-deliveredontheexpirationoftheCharterinthesamegoodorderaswhetdeliverdetotheCharterers(fairwearandtearexcepted)atanice-freeportintheCharterers'optioninbetween9a.m.and6p.m.，and9a.m.and2p.m.onSaturday，butthedayofredeliveryshallnotbeaSundayorlegalHoliday.TheChartererstogivetheOwnersnotlessthantendays'noticeatwhichportandonaboutwhichdaytheVesselwillbere-delivered.ShouldtheVesselbeorderedonavoyagebywhichtheCharterperiodwillbeexceededthChartererstohavetheuseoftheVesseltoenablethentocompletethevoyage，provideditcouldbereasonablycalculatedthatthevoyagewouldallowre-deliveryaboutthetimefixedfortheterminationtheCharter，butforanytimeexceedingtheterminationdatetheChartererstopaythemarketrateifhigherthantheratestipulatedherein.3.ThewholereachandburthenoftheVessel，includinglawfuldeck-capacitytobeattheCharterers'disposal，reservingproperandsufficientspacefortheVessel'sMaster，Officers，Crew，tackle，apparel，furniture，provisionsandstores.

31.TheMastertoprosecuteallvoyageswiththeutmostdespatchandtorendercustomaryassistancewiththevessel'sCrew.TheMastertobeundertheordersoftheChartererssaregardsemploymentagency，orotherarrangements.The-ChartererstoindemnifytheOwnersagainstallconsequencesorliabilitiesarisingfromtheMaster，OfficersorAgentssigningBillsofLadingorotherdocumentsorotherwisecomplyingwithsuchorders，aswellasfromanyirregularityintheVessel'spapersorforovercarryinggoods.TheOwnersnottoberesponsibleforshortage，mixture，matks，notfornumberofpiecesorpackages，norfordamagetoorclaimsoncargocausedbybadstowageorotherwise.IftheCharterershavereasontobedissatisfiedwiththeconductoftheMaster，Officers，orEngineers，theOwners，onreceivingparticularsofthecomplaint，promptlytoinvestigatethematter，and，ifnecessaryandpracticable，tomakeachangeintheappointments.2.TheChartererstofurnishtheMasterwithallinstructionsandsailingdirectionsandtheMasterandEngineertokeepfullandcorrectlogsaccessibletotheCharterersortheirAgents.3.（A）IntheeventofdrydockingorothernecessarymeasurestomaintaintheefficiencyoftheVessel，deficiencyofmenofOwners'stores，breakdownofmachinery，damagetohullorotheraccident，eitherhinderingorpreventingtheworkingofthevesselandcontinuingformorethantwentyfourconsecutivehours，nohiretobepaidinrespectofanytimelosttherebyduringtheperiodinwhichtheVesselisunabletoperformtheserviceimmediatelyrequired.Anyhirepaidinadvancetobeadjustdeaccotdingly.（B）IntheeventoftheVesselbeingdrivenintoportortoanchoragethroughstressofweather，tradingtoshallowharborsortoriversorportswithbarsorsufferinganaccidenttohercatgo，anydetentionoftheVesselandorexpensesresultingfromsuchdetentiontobefortheCharterersaccountevenifsuchdetentiontobefortheCharterersaccountevenifsuchdetentionandorexpenses，or

4thecausebyreasonofwhicheitherisincurred，bedueto，orbecontributedtoby，thenegligenceoftheOwners'servants.1.Cleaningofbolierswheneverpossibletobedoneduringservice，butifimpossibletheChartererstogivetheOwnersnecessarytimeforcleaning.ShouldtheVesselbedetainedbeyond48hourshiretoceaseuntilagainready.2.TheOwnersonlytoberesponsiblefordelayindeliveryoftheVesselorfordelayduringthecurrencyoftheCharterandforlossordamagetogoodsonboard，ifsuchdelayorlosshasbeencausedbywantofduediligenceonthepartoftheOwnersoftheirManegerinmakingtheVesselseaworthyandfittedforthevoyageoranyotherpersonalactoromissionordefaultoftheOwnersortheirManagerinmakingtheVesselseaworthyandfittedforthevoyageoranyotherpersonalactoromissionordefaultoftheOwnersortheirManeger.TheOwnersnottoberesponsibleinanyothercasenorfordamageordelaywhatsoeverandhowsoevercausedevenifcausedbytheneglectordefaultoftheirservants.TheOwnersnottobeliableforlossordamagearisingorresultingfromstrikes，lockoutsorstoppageorrestraintoflabour(includingtheMaster，OfficersorCrew)whetherpartialorgeneral.TheChartererstoberesponsibleforlossordamagecausedtotheVesselortotheOwnersbygoodsbeingloadedcontrarytothetremsofthecharterorbyimproperorcarelessbunkeringorloading，stowingordischargingofgoodsoranyotherimproperornegligentactontheirpartorthatoftheirservants.3.TheCharterersortheirAgentstoadvancetotheMaster，ifrequired，necessaryfundsforordinarydisbursementsfortheVessel'saccountatantportchargingonlyinteresrat6percentp.a.，suchadvancestobedeductedfromhire.4.TheVesselnottobeorderedtonorboundtoentera)anyplacewherefeverorepidemicsareprevalentortowhichtheMaster，OfficersandCrewbylawarenotboundtofollowtheVessel.b)anyice-boundplaceoranyplacewherelights，lightships，marksandbuoysareorarelikelytobewithdrawnbyreasonoficeontheVessel'sarrivalorwhere

5thereisriskthatordinarilytheVesselwillnotbeableonaccountoficetoreachtheplaceortogetoutafterhavingcompleredloadingordischarging.TheVesselnottobeobligedtoforceice.IfonaccountoficetheMasterconsidersitdangeroustoremainattheloadingordischargingplaceforfearoftheVesselbeingfrozeninandordamaged，hehaslibertytosailtoaconvenientopenplaceandawaittheCharterers'freshinstructions.UnforeseendetentionthroughanyofabovecausestobefortheCharterers'account.1.ShouldtheVesselbelostormissing，hiretoceasefromthedatewhenshewaslost.IfthedateoflosscannotbeascertainedhalfhiretobepaidfromthedatetheVesselwaslastreporteduntilthecalculateddateofarrivalatthedestinaton.Anyhirepaidinadvancetobeadjustedaccordingly.17.TheVesseltoworkdayandnightifrequired.TheChartererstorefundtheOwnerstheiroutlaysforallovertimepaidtoOfficersandCrewaccordingtothehours

6andratesstatedintheVesselarticles.18.TheOwnerstohavealienuponallcargoesandsub-freightsbelongingtotheTimeCharterersandanyBillofLadingfreightforallclaimsunderthisCharter，andtheChartererstohavealienontheVesselforallmoneyspaidinadvanceandnotearmed.19.AllsalvageandassistancetoothervesselstobefortheOwners'andtheCharterers'equalbenefitafterdeductingtheMaster'sandCrew'sproportionandalllegalandotherexpensesincludinghirepaidunderthecharterfortimelostinthesalvage，alsorepairsofdamageandcoalofoilfuelconsumed.TheChartererstobeboundbyallmeasurestakenbytheOwnersinordertosecurepaymentofsalvageandtofixitsamount.20.TheChartererstohavetheoptionofsublettingtheVessel，givingduenoticetotheowners，buttheoriginalCharterersalwaystoremainresponsibletotheOwnersfordueperformanceoftheCharter.21.（A）TheVesselunlesstheconsentoftheOwnersbefirstobtainednottobeorderednorcontinuetoanyplaceoronanyvoyagenorbeusedonanyservicewhichwillbringherwithinazonewhichisdangerousastheresultofanyactualorthreatenedactofwar，warhostilities，warlikeoperations，actsofpiracyorofhostilityormaliciousdamageagainstthisoranyothervesseloritscargobyanyperson，bodyorStatewhatsoever，revolution，civilwar，civilcommotionortheoperationofinternationallaw，norbeexposedinanywaytoanyrisksorpenaltieswhatsoeverconsequentupontheimpositionofSanctions，notcarryanygoodsthatmayinanywayexposehertoanyrisksofseizure，capture，penaltiesofanyotherinterferenceofanykindwhatsoeverbythebelligerentoffightingpowersofpartiesorbyanyGovernmentorRuler.（B）ShouldtheVesselapproachorbebroughtororderedwithinsuchzone，orbeexposedinanywaytothesaidrisks，（1）theOwnerstobeentitledfromtimeto2）notwithstandingtimetoinsuretheirinterestsintheVesselandorhireagainstanyoftheriskslikelytobeinvolvedtherebyonsuchtermsastheyshallthinkfit，theChartererstomakearefundtotheOwnersofthe

7premiumondemandgandthetermsofclause11hiretobepaidforalltimelostincludinganylostowingtolossoforinjurytotheMaster，officers，orCrewortotheactionoftheCrewinrefusingtoproceedtosuchzoneortobeexposedtosuchrisks.（C）IntheeventofthewagesoftheMaster，OfficesandorCreworthecostofprovisionsandorstoresfordeckandorengineroomandorinsurancepremiumsbeingincreasedbyreasonoforduringtheexistenceofanyofthemattersmentionedinsection（A）theamountofanyincreasetobeaddedtothehireandpaidbytheCharterersonproductionoftheOwners'accounttherefor，suchaccountbeingrenderedmonthly.（D）TheVesseltohavelibertytocomplywithanyordersordirectionsastodeparture，arrival，routes，portsofcall，stoppages，destination，deliveryofinanyotherwisewhatsoevergivenbytheGovemmentofthenationunderwhoseflagtheVesselsailsofanyotherGovernmentofanyperson（orbody）actingorpurportingtoactwiththeauthorityofsuchGovernmentorbyanycommitteeorpersonhavingunderthetermsofthewarrisksinsuanceontheVesseltherighttogiveanysuchordersordirections.（E）IntheeventofthenationunderwhoseflagtheVesselsailsbecominginvolvedinwar，hostilities，warlikeoperations，revolution，orcivilcommotion，boththeOwnersandtheCharterersmaycanceltheCharterand，unlessotherwiseagreed，theVesseltoberedeliveredtotheOwnersattheportofdestinationor，ifpreventedthroughtheprovisionsofsection（A）fromreachingorenteringit，thenatanearopenandsafeportattheOwners'option，afterdischargeofanycargoonboard.（F）Ifincompliancewiththeprovisionsofthisclauseanythingisdoneorisnotdone，suchnottobedeemedadeviation.18.ShouldtheVesselnotbedeliveredbythedayof19，theChartererstohavetheoptionofcancelling.

8IftheVesselcannotbedeliveredbythecancellingdate，theCharterers，ifrequired，todeclarewithin48hoursafterreceivingnoticethereofwhethertheycancelorwilltakedeliveryoftheVessel.18.AnydisputearisingundertheChartertobereferredtoarbitrationinLondon(orsuchplaceasmaybeagreed)oneArbitratortobenominatedbytheOwnersandtheotherbytheCharterers，andincasetheArbitratorsshallnotagreethentothedecisionofanUmpiretobeappointedbythem，theawardoftheArbitratorsortheUmpiretobefinalandbindinguponbotyparties.19.GeneralAveragetobesettledaccordingtoYorkAntwerpRules，1974.HirenottocontribntetoGeneralAverage.20.TheOwnerstopayacommissionoftoonanyhirepaidundertheCharter，butinnocaselessthanisnecessarytocovertheactualexpensesoftheBrokersandareasonablefeefortheirwork.IfthefullhireisnotpaidowingtobreachofCharterbyeitherofthepartiesthepartyliabletherefortoindemnifythebrokersagainsttheirlossofcommission.ShouldthepartiesagreetocanceltheCharter，theOwnerstoindemnifytheBrokersagainstanylossofcommissionbutinsuchcasethecommissionnottoexceedthebrokerageononeyear'shire.
